1. ACCEPTANCE OF TERMS
By accessing or using the CA Practice Management Software ("Service") hosted at https://capms.tryzent.com ("Platform"), you ("User," "You," or "Your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you and Tryzent Technologies Private Limited ("Company," "We," "Us," or "Our") regarding your use of the CA Practice Management Software.
2. SERVICE DESCRIPTION
Our CA Practice Management Software is a cloud-based Software-as-a-Service (SaaS) platform designed specifically for Chartered Accountants practicing in India. The Service provides:
Client management and communication tools
Practice workflow automation
Document management and storage
Compliance tracking and reporting
Financial management for CA practices
Integration with regulatory filing systems
Data analytics and reporting features
3. ELIGIBILITY AND REGISTRATION
3.1 Eligibility
To use our Service, you must:
Be a licensed Chartered Accountant registered with the Institute of Chartered Accountants of India (ICAI)
Be at least 18 years of age
Have the legal capacity to enter into this agreement
Provide accurate and complete registration information
3.2 Account Registration
You must create an account to access the Service
You are responsible for maintaining the confidentiality of your account credentials
You must immediately notify us of any unauthorized use of your account
You may not share your account with others or create multiple accounts
4. SUBSCRIPTION AND BILLING
4.1 Subscription Plans
We offer various subscription plans with different features and pricing. Details are available on our Platform.
4.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis
All payments must be made in Indian Rupees (INR)
Fees are non-refundable except as expressly stated in these Terms
We reserve the right to change pricing with 30 days' notice
4.3 Auto-Renewal
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription through your account settings or by contacting us.
4.4 Refund and Cancellation Policy
No Refunds: All subscription fees are non-refundable under any circumstances
Cancellation: You may cancel your subscription at any time, but no refunds will be provided for unused subscription periods
Pro-rata Credits: We do not provide pro-rata credits for partial subscription periods
Processing Time: Cancellations are processed immediately upon request
Refund Timeline: As we do not offer refunds, no refund processing timeline applies
Exception: Refunds may only be considered in cases of proven technical error in billing, at our sole discretion
4.5 Shipping Policy
As our CA Practice Management Software is a digital Software-as-a-Service (SaaS) platform delivered electronically via the internet, no physical products are shipped. Therefore:
No shipping or delivery charges apply
No physical delivery is required
Access to the Service is provided immediately upon successful payment and account activation
You are responsible for all applicable taxes, including GST, related to your use of the Service.
5. DATA PRIVACY AND SECURITY
5.1 Data Protection
We are committed to protecting your data and maintaining client confidentiality in accordance with:
The Information Technology Act, 2000
Personal Data Protection Bill (when enacted)
ICAI guidelines on data protection
Industry best practices for data security
5.2 Data Ownership
You retain ownership of all data you upload to the Platform
We do not claim any intellectual property rights in your data
You grant us a limited license to process your data solely to provide the Service
5.3 Data Security
We implement industry-standard security measures including:
Data encryption in transit and at rest
Regular security audits and updates
Access controls and authentication mechanisms
Backup and disaster recovery procedures
5.4 Data Location
Your data may be stored and processed in data centers located in India or other countries. We ensure adequate data protection regardless of location.
6. USER RESPONSIBILITIES AND CONDUCT
6.1 Permitted Use
You may use the Service only for legitimate business purposes related to your CA practice and in compliance with:

6.2 Prohibited Activities
You may not:
Use the Service for any illegal or unauthorized purpose
Violate any laws, regulations, or professional standards
Upload malicious software or attempt to compromise system security
Interfere with or disrupt the Service or servers
Access or attempt to access other users accounts or data
Use automated tools to extract data from the Platform
Reverse engineer or attempt to copy the software
6.3 Content Responsibility and Risk Assumption
You are solely responsible for and assume all risks related to:
The accuracy, completeness, and legality of data you upload
Maintaining appropriate client consent for data processing
Ensuring compliance with professional confidentiality requirements
Backing up your data independently
Any decisions made based on Service outputs
Professional advice provided to clients using Service data
Compliance with all applicable laws and professional standards
6.4 Risk Acknowledgment
YOU EXPRESSLY ACKNOWLEDGE AND ASSUME THE FOLLOWING RISKS:
Technical failures or system downtime may occur
Data processing errors or calculation mistakes are possible
Security breaches or unauthorized access may happen
Regulatory requirements may change without notice
Professional liability may arise from Service use
Client relationships may be affected by Service issues
7. INTELLECTUAL PROPERTY
7.1 Platform Ownership
The Platform, including all software, features, and content (excluding your data), is owned by Tryzent and protected by intellectual property laws.
7.2 License Grant
We grant you a limited, non-exclusive, non-transferable license to use the Platform solely for your CA practice during your subscription period.
7.3 Restrictions
You may not:
Copy, modify, or create derivative works of the Platform
Sell, lease, or sublicense access to the Platform
Remove or alter any proprietary notices
8. COMPLIANCE AND REGULATORY MATTERS
8.1 Professional Compliance
You acknowledge that:
You remain solely responsible for compliance with ICAI regulations
The Service does not replace your professional judgment
You must verify all automated calculations and outputs
Professional liability remains with you as the practicing CA
8.2 Regulatory Updates
We will make reasonable efforts to update the Platform to reflect changes in applicable laws and regulations, but you remain responsible for staying current with regulatory requirements.
9. SERVICE AVAILABILITY AND SUPPORT
9.1 Uptime
We strive to maintain 99.5% uptime but do not guarantee uninterrupted service availability.
9.2 Maintenance
We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice.
9.3 Support
Support is provided via email at contact@tryzent.com during business hours (Monday-Friday, 9 AM - 6 PM IST).
10. DISCLAIMERS AND LIMITATION OF LIABILITY
10.1 Service Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE OR CONTENT
UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION
MEETING YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS
COMPATIBILITY WITH ALL SYSTEMS OR SOFTWARE
10.2 No Professional Advice
THE SERVICE IS A TECHNOLOGY PLATFORM ONLY. WE DO NOT PROVIDE:
Professional accounting, legal, or financial advice
Guarantees regarding compliance with laws or regulations
Validation of professional decisions or calculations
Substitute for professional judgment or expertise
10.3 Comprehensive Liability Exclusion
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRYZENT SHALL NOT BE LIABLE FOR:
Direct Damages:
Loss of data, files, or work product
Business interruption or downtime
Lost profits, revenue, or business opportunities
Costs of substitute services or products
Indirect Damages:
Consequential, incidental, special, punitive, or exemplary damages
Professional liability claims or regulatory penalties
Client disputes or loss of professional reputation
Errors in professional services or advice
Third-Party Claims:
Claims arising from your client relationships
Regulatory investigations or penalties
Professional misconduct allegations
Data breaches involving client information
10.4 Liability Cap
IF ANY LIABILITY IS FOUND TO EXIST DESPITE THESE LIMITATIONS:
Our total aggregate liability shall not exceed the lesser of: (a) ₹10,000, or (b) the total amount paid by you in the 6 months immediately preceding the claim
This cap applies regardless of the legal theory of liability
Each claim must be brought within 12 months of the incident giving rise to liability
11. INDEMNIFICATION
11.1 User Indemnification
You agree to defend, indemnify, and hold harmless Tryzent Technologies Private Limited, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:
Your Use of Service:
Your access to or use of the Service
Your violation of these Terms or any applicable law
Your negligent or wrongful conduct
Any content or data you submit, post, or transmit
Professional Activities:
Your provision of professional services to clients
Professional errors, omissions, or misconduct
Violation of ICAI regulations or professional standards
Client disputes or professional liability claims
Regulatory investigations or enforcement actions
Third-Party Claims:
Claims by your clients against Tryzent
Intellectual property infringement claims
Privacy or data protection violations
Breach of client confidentiality
11.2 Scope of Indemnification
This indemnification obligation includes:
Legal defense costs and attorney fees
Settlements and judgments
Regulatory fines and penalties
Costs of compliance proceedings
Reputational damage claims
12. TERMINATION
12.1 Termination by You
You may terminate your subscription at any time through your account settings or by contacting us.
12.2 Termination by Us
We may terminate your access immediately if you:
Violate these Terms
Fail to pay subscription fees
Engage in fraudulent or illegal activities
Violate professional standards or regulations
12.3 Effect of Termination
Upon termination:
Your access to the Service will cease immediately
You may download your data for 30 days after termination
We may delete your data after the retention period
All accrued fees remain payable and non-refundable
Our liability and obligations under these Terms shall survive termination
Your indemnification obligations shall survive termination
13. FORCE MAJEURE
We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures of third-party services.
14. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
15. MODIFICATIONS TO TERMS
We may modify these Terms at any time by posting updated Terms on the Platform. Continued use of the Service after modifications constitutes acceptance of the new Terms. Material changes will be notified via email.
16. SEVERABILITY
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Tryzent Technologies Private Limited regarding the Service and supersede all prior agreements and understandings.
